By accessing or using WorkSmiths ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all users, including administrators, team members, and customers.

2. Description of Service

WorkSmiths is a cloud-based project management platform that provides tools for task management, team collaboration, time tracking, billing, and reporting. The Service is provided on a subscription basis with different tiers offering varying features and storage limits.

3. User Accounts

3.1 Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription and Payment

4.1 Pricing

Subscription fees are billed in Indian Rupees (INR) on a monthly or annual basis as selected. Prices are subject to change with 30 days' notice. Current pricing is displayed on our Pricing page.

4.2 Free Trial

New users receive a 14-day free trial. No credit card is required during the trial period. At the end of the trial, you must select a paid plan to continue using the Service.

4.3 Payment Processing

Payments are processed through Razorpay. By providing payment information, you authorize us to charge the applicable fees to your payment method.

4.4 Refunds

We offer a 30-day money-back guarantee for new subscriptions. Refunds for annual plans are prorated for unused months. Contact support to request a refund.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Resell or redistribute the Service without authorization
• Use the Service to send spam or unsolicited communications
• Infringe upon the intellectual property rights of others

6. Data and Content

6.1 Your Data

You retain all rights to data and content you upload to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve the Service.

6.2 Data Backup

While we implement regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

6.3 Data Export

You may export Your Data at any time through the Service's export features. Upon account termination, Your Data will be deleted within 30 days unless you request an extension.

7. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by ThinkSmiths Software Services and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without written permission.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for planned maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKSMITHS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless WorkSmiths, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
